These Terms of Service (“Terms”) govern access to and use of Manch, a multi-tenant software-as-a-service platform operated by Nausha Technologies (“Nausha Technologies,” “Manch,” “we,” “us,” or “our”). By registering for an account, subscribing to a plan, creating an academy, or using Manch's services, you agree to these Terms. If you are accepting these Terms on behalf of an academy, institution, or business, you represent that you are authorised to bind that organisation.
01.Platform Identity, Scope and Definitions
1.1 Platform operator
Manch is operated by Nausha Technologies, a sole proprietorship established in India, with its business address stated as Gudivada, Krishna District, Andhra Pradesh – 521301, India.
1.2 Nature of the service
Manch provides technology infrastructure for educators, coaching centres, academies and other educational businesses. Depending on the subscription and configuration, services may include:
- Academy websites, storefronts and custom-domain support.
- Course creation, classroom management and learner enrolment.
- Video hosting, delivery and playback-protection features.
- Live-class infrastructure and course recordings.
- AI-assisted educational tools and usage-based credits.
- Instructor management, analytics and administrative dashboards.
- Payment gateway integrations and supported settlement workflows.
Feature availability, quotas, usage limits and service conditions depend on the applicable plan, purchased add-ons, technical configuration and any additional agreement.
1.3 Important definitions
02.Platform Role and Applicable Law
Manch provides software and related infrastructure for independently operated academies. An academy generally determines its courses, educational content, course prices, learner admissions and teaching practices.
Manch does not generally create or endorse Tenant Content and does not represent that every course, instructor, qualification or educational claim published through the platform has been independently verified.
Where applicable, Manch may qualify as an intermediary under the Information Technology Act, 2000, and related rules. The applicability of any statutory protection depends on the relevant facts and compliance with the conditions imposed by law. Nothing in these Terms guarantees immunity from liability or excludes a duty that applicable law places on Manch.
Manch may use automated tools and operational reviews to protect the platform, enforce its policies, investigate reports and comply with lawful directions. These activities do not mean that Manch independently verifies every item of Tenant Content.
03.Tenant Responsibilities and Educational Services
3.1 Responsibility for academy operations
Each Tenant is responsible for operating its academy lawfully and honestly, including:
- The accuracy of course descriptions, instructor credentials, educational claims and advertised outcomes.
- The quality and delivery of courses, classes, assessments and learner support.
- Admission requirements, enrolment decisions and communication with learners.
- Setting course prices and communicating applicable taxes, fees and refund terms.
- Obtaining permissions, licences, consents and other rights needed for Tenant Content.
- Compliance with applicable consumer protection, privacy, copyright, taxation and education-related requirements.
Manch is not a party to every educational relationship formed between an academy and its learners. However, the nature of Manch's own obligations depends on its actual role in the relevant transaction and applicable law.
3.2 Learner-facing terms
Tenants must provide learners with clear information about course access, pricing, cancellations, refunds, course duration and relevant limitations before purchase.
Tenants must not describe Manch as the creator, seller, accrediting body or guarantor of a course unless a separate written agreement expressly authorises that representation.
3.3 Tenant accounts and authorised users
Tenants are responsible for maintaining accurate account information, controlling administrator and instructor access, protecting credentials and promptly reporting suspected unauthorised access.
Tenants must ensure that their instructors and other authorised users comply with these Terms and the applicable platform policies.
04.Prohibited and Restricted Use
Users must not use Manch to upload, distribute, facilitate or promote material or activity that violates applicable law or infringes another person's rights. Prohibited activities include, without limitation:
- Child sexual abuse material, sexual exploitation of minors or other unlawful exploitation.
- Threats, targeted harassment, unlawful incitement to violence or prohibited extremist activity.
- Content that unlawfully exposes private information or intimate imagery.
- Pirated films, books, course materials, software or other copyrighted works without the necessary rights.
- Leaked examination papers, confidential assessments or restricted materials obtained unlawfully.
- Unauthorised use of trademarks, logos, instructor identities or other protected material.
- Fraudulent courses, deceptive credentials or false claims of guaranteed employment, examination success or financial returns.
- Impersonation, phishing, payment fraud or deliberate misrepresentation.
- Unlawful gambling, pyramid schemes or other prohibited commercial activities.
- Unauthorised access, credential theft, exploitation of vulnerabilities or interference with another Tenant's environment.
- Scraping, denial-of-service activity, malware distribution or attempts to bypass usage limits.
- Circumventing video protection, copying protected materials or sharing credentials in violation of terms.
- Misuse of AI tools to facilitate unlawful activity or violate the rights of others.
Educational, medical, scientific, journalistic or other legitimate material is not prohibited solely because it discusses a sensitive subject. Its treatment depends on the actual content, context and applicable law.
05.Complaints, Content Restrictions and Enforcement
5.1 Reporting a concern
A person may report allegedly unlawful, infringing, harmful or policy-violating material through the published grievance or support channel.
Reports should identify the relevant academy, course or content URL; describe the concern; provide supporting information; and include contact details sufficient for follow-up. Copyright complaints should include information reasonably necessary to identify the protected work and the allegedly infringing material.
5.2 Available action
Where reasonably necessary and permitted by law, Manch may:
- Request information or clarification from a Tenant.
- Restrict access to specific content or temporarily quarantine it.
- Disable uploads, AI requests, live broadcasts or other affected features.
- Suspend user accounts, storefronts, domains or platform access.
- Preserve relevant records where required or permitted by law.
- Report or respond to lawful requests from competent authorities.
The response will depend on the nature and credibility of the report, the risk involved, applicable legal requirements and the circumstances of the case. Manch may act without advance notice when necessary to address a serious security threat, suspected illegal activity, risk of harm, or a binding legal direction. Where appropriate and legally permitted, Manch may provide notice and an opportunity to respond or appeal. Manch does not guarantee that every complaint will be substantiated or that every enforcement action can be reversed.
5.3 Appeals and reinstatement
A Tenant may contact Manch to request review of a restriction, providing relevant evidence and corrective steps. Manch may reinstate access when the concern has been resolved and reinstatement is appropriate. Nothing in this section limits action required by law or the rights of a person to approach a competent authority.
06.Indemnification
To the extent permitted by applicable law, a Tenant agrees to indemnify and reasonably assist in defending Nausha Technologies against third-party claims, losses and reasonable legal expenses to the extent arising from:
- Tenant Content that the Tenant supplied or published and that infringes a third party's rights or violates applicable law.
- The Tenant's unlawful or fraudulent conduct, or material breach of these Terms.
- The Tenant's failure to obtain necessary permissions or rights for its content.
- The Tenant's educational services, course representations or learner transactions, to the extent attributable to the Tenant.
- The Tenant's failure to meet its own applicable tax, licensing or regulatory obligations.
This obligation is subject to applicable law and does not automatically extend to losses caused by Manch's own breach, negligence, wilful misconduct or other conduct for which liability cannot lawfully be excluded.
Manch will provide reasonable notice of a covered claim where practicable. The parties should cooperate in the defence and resolution of the claim. A settlement that imposes an admission or material obligation on the indemnifying party requires that party's consent, not to be unreasonably withheld.
07.Plans, Pricing, Renewals and Add-ons
7.1 Plans and entitlements
Manch may offer Free Sandbox, Starter Academy, Growth, Professional and other plans, together with optional add-ons. The actual features, resource allowances and prices are those displayed at the time of purchase or otherwise agreed in writing.
Resource entitlements may include storage, AI credits, live-streaming hours, instructor seats and other infrastructure capacity. A quota described as unlimited remains subject to reasonable technical, security and acceptable-use restrictions disclosed for the relevant service.
7.2 Pricing changes
Manch may change prices, plan features or add-on rates prospectively to reflect product changes, infrastructure costs, provider charges or other legitimate business reasons. Where a change affects a recurring paid subscription, Manch will provide advance notice before the affected renewal, where required by law and in accordance with the applicable subscription terms. A change will not retrospectively alter fees for a period already paid, except where a correction is legally permitted. If a Tenant does not wish to accept a prospective price change, the Tenant may cancel before the changed rate applies.
7.3 Upgrades and downgrades
Where payment is successfully verified, an eligible upgrade may activate higher entitlements immediately.
A downgrade may require the Tenant to reduce usage, remove excess resources or purchase compatible add-ons so that the new plan can support the Tenant's existing resources. Manch may provide a recommended add-on combination, but its availability and pricing depend on the current catalogue. Where the downgrade is subject to a billing-cycle boundary, the effective date and any resulting entitlement changes will be displayed or communicated to the Tenant.
7.4 Taxes and provider fees
Applicable taxes, payment gateway charges, refunds, chargebacks and third-party fees are separate from Manch's platform commission unless expressly stated otherwise. Tenants are responsible for their own tax obligations and invoices where required by their role in the transaction. Manch remains responsible for its own applicable tax and statutory obligations.
08.Resource Quotas, Grace Periods, Suspension and Data Deletion
8.1 Resource-specific limits
Manch applies resource limits according to the Tenant's plan, active add-ons, available credits and service configuration:
- Storage: New uploads may be frozen when storage entitlement is exceeded or an applicable add-on expires. Existing videos may remain stored and playable during the applicable grace period.
- AI credits: New AI requests may stop when the applicable credit allowance is exhausted. Existing conversation history may remain available subject to access and retention rules.
- Live streaming: New broadcasts may be restricted when the relevant plan allowance or paid entitlement is unavailable. Existing recordings may remain available subject to account status.
- Instructor seats: Invitations to additional instructors may be blocked when the seat allowance is reached. Excess seats may be restricted or made read-only in accordance with the applicable plan rules.
8.2 Applicable 30-day grace period
For specified storage add-on expiries, storage deficits or applicable subscription-lapse situations, Manch may provide a grace period of up to 30 days, as communicated in the Tenant dashboard or relevant billing notice. During a storage-overage grace period, new uploads may be frozen while existing content remains stored. Access to AI, live-streaming, instructor management and other services remains subject to their individual quotas and restrictions. The grace period does not override hard usage limits, security restrictions, abuse enforcement or a legal requirement to restrict access.
8.3 Suspension and quarantine
Where an eligible subscription or resource deficit remains unresolved after the applicable grace period, Manch may suspend some or all Tenant services. Under the described account-termination lifecycle, an academy may be placed into a further suspension or quarantine period of up to 15 days following the initial 30-day period. Suspension can affect the academy dashboard, storefront, domains, uploads, broadcasts and learner access. Continued playback during quarantine depends on the service's actual technical configuration and the reason for suspension; it is not guaranteed for every suspended academy.
8.4 Data purge and recovery
If an account remains eligible for termination and deletion after the applicable notice, grace and quarantine periods, Manch may permanently delete its video assets, storage objects, database records and associated routing configurations. Tenants should maintain their own appropriate backups and exports of content and records they need to preserve. Manch does not guarantee recovery after permanent deletion. Records that must be retained for legal, tax, accounting, security, dispute-resolution or other legitimate purposes may be retained for the applicable period, subject to the Privacy Policy and law.
8.5 Free Sandbox inactivity
A Free Sandbox account may be considered inactive after 90 consecutive calendar days without the activity specified in the applicable plan or inactivity notice. Before purging an eligible inactive account, Manch may send reminders to the registered email address. If the account remains inactive and eligible for deletion, Manch may reclaim associated resources, including stored media, account records and subdomain routing. Tenants should not rely on an inactive free account as permanent storage.
8.6 Restoring service
Where suspension results from an unpaid subscription or unresolved resource deficit, Manch may restore the affected service after the required payment, renewal, quota correction or other remediation has been verified. Restoration may require reasonable processing time. Restoration is not guaranteed where the account has been permanently deleted or where a separate legal, security or policy restriction remains in place.
09.Payment Models, Merchant Responsibilities and 0% Platform Commission
9.1 Platform commission
Manch's advertised 0% platform commission means Manch does not charge a percentage-based platform commission on eligible course sales under the applicable offer. It does not mean that transactions are free of payment gateway fees, applicable taxes, refunds, chargebacks, transfer costs or other disclosed charges.
9.2 BYOG payment arrangement
Under BYOG, a Tenant connects its own approved payment gateway account and credentials through Manch's supported integration. In this arrangement, the gateway processes payments under its agreement with the Tenant. The Tenant is generally responsible for course-sale invoices, applicable taxes, refunds, customer service and disputes associated with those transactions. Manch provides the integration and related technical services but does not become the seller of the course merely because the transaction occurs through an academy storefront.
9.3 Razorpay Route arrangement
Under Razorpay Route, payments may be processed through the configured Manch master account and amounts may be transferred to an academy's linked account under the relevant provider arrangement. The actual payment flow, settlement timing, fees, refund handling and allocation of responsibilities are subject to Razorpay's applicable terms, account approvals and the configured integration. Manch may initiate supported refund and transfer-reversal operations through the integration. A request to the payment provider does not guarantee that a refund or reversal will succeed, that funds will be available immediately, or that the provider will recover a shortfall in a particular way.
9.4 Refunds, chargebacks and disputes
The applicable seller, payment account holder and responsible party depend on the payment arrangement and transaction. A Tenant must cooperate with reasonable evidence requests, provide accurate course and enrolment records, and respond to disputes within applicable provider deadlines.
Where a refund or chargeback is attributable to an academy and creates a recoverable amount under the applicable Route arrangement, Manch may, where permitted by law and the provider's rules, seek recovery from available or future settlements attributable to that academy. Manch may contact or invoice the academy for a remaining shortfall.
Any recovery is subject to the provider's actual mechanisms, available balances, settlement rules, contractual rights and applicable law. This clause does not guarantee automatic recovery from future purchases or settlements. Where an amount is disputed, the parties should cooperate in reviewing the transaction and relevant evidence. Manch may take reasonable protective action on an affected enrolment or order where justified by the circumstances and applicable policy.
9.5 Gateway credentials
Tenants must provide valid gateway credentials and maintain the required provider approvals. Tenants must not share credentials with unauthorised persons or attempt to bypass gateway security controls. Manch's handling of gateway credentials and associated personal or financial information is described in the Privacy Policy and remains subject to the actual technical implementation.
10.Technical Architecture, Security and Intellectual Property
10.1 Tenant separation
Manch uses tenant-scoped application and database controls intended to separate each academy's data and resources. Tenant content and media may be stored in infrastructure operated by third-party service providers. Manch applies reasonable technical and organisational measures appropriate to the services it operates. No system can be guaranteed completely secure or immune from every vulnerability, outage or unauthorised attempt.
10.2 Video protection and DRM
Manch may use video delivery controls, signed access mechanisms, watermarking, device restrictions or similar protection measures to reduce unauthorised sharing. These measures reduce certain risks but cannot guarantee prevention of all screen recording, copying, credential sharing or redistribution. Tenants must ensure that any personal information embedded in watermarks or other security features is used lawfully and disclosed where required.
10.3 Tenant intellectual property
As between Manch and the Tenant, the Tenant retains its rights in Tenant Content, subject to rights belonging to third parties. The Tenant grants Manch a limited, non-exclusive licence to host, store, process, transcode, display and deliver Tenant Content as reasonably necessary to provide, secure and maintain the requested services. This licence ends when the relevant content is deleted or the service ends, except to the extent temporary copies, backups or retained records must remain for technical, legal, security or dispute-resolution purposes.
10.4 Manch intellectual property
The Manch software, platform design, branding, documentation and underlying technology remain owned by or licensed to Nausha Technologies or the relevant rights holder. Except as expressly permitted, users may not copy, reverse-engineer, resell, redistribute or commercially exploit the platform or its components.
11.Service Availability, Warranties and Limitation of Liability
11.1 Service availability
Manch aims to provide reliable services but does not promise uninterrupted, error-free or universally available operation unless a separate written service-level agreement expressly provides otherwise. Services may be affected by maintenance, network failures, third-party providers, security incidents, excessive demand or circumstances outside Manch's reasonable control.
11.2 Warranty disclaimer
To the maximum extent permitted by applicable law, the platform is provided on an “as available” basis, subject to the express commitments in any applicable written agreement. Manch does not guarantee that every feature will meet every Tenant's requirements, that all content will remain available indefinitely, or that digital protection mechanisms will prevent every form of unauthorised copying. Nothing in these Terms excludes a warranty, remedy or statutory right that cannot lawfully be excluded.
11.3 Exclusion of certain losses
To the maximum extent permitted by law, Manch will not be liable for indirect or consequential losses, including loss of profits, business opportunities, goodwill or anticipated savings, arising from the use of or inability to use the platform. This exclusion does not apply where such liability cannot lawfully be excluded, or to the extent a loss results from conduct for which Manch remains legally responsible.
11.4 Liability cap
To the maximum extent permitted by applicable law, Manch's aggregate liability arising from a claim relating to the platform or these Terms will be limited to the subscription fees actually paid by the affected Tenant to Manch during the one-month period immediately preceding the event giving rise to the claim, or ₹1,000, whichever is higher.
If no subscription fee was paid during that period, the cap will be ₹1,000, subject to applicable law.
This cap does not apply to liabilities that cannot lawfully be limited or excluded. It does not purport to limit the rights of consumers or other persons where such limitation would be invalid under applicable law.
12.Termination, Governing Law and Dispute Resolution
12.1 Termination by the Tenant
A Tenant may cancel its subscription through the available account controls or by contacting Manch. Unless otherwise stated, cancellation takes effect at the end of the current prepaid billing period. Cancellation does not automatically entitle the Tenant to a refund. Refund eligibility is governed by the applicable Refund, Cancellation and Billing Policy and mandatory law.
12.2 Termination or suspension by Manch
Manch may suspend or terminate an account where reasonably necessary due to non-payment, material breach, fraud, security risks, unlawful activity, provider requirements or a binding legal direction. Where appropriate, Manch will provide notice and a reasonable opportunity to remedy the issue. Immediate restrictions may be necessary in serious cases. The treatment of stored data following termination is governed by Section 8 and the Privacy Policy.
12.3 Governing law
These Terms are governed by the laws of India, subject to applicable conflict-of-law principles and mandatory statutory rights.
12.4 Dispute resolution
The parties should first attempt to resolve a contractual dispute through good-faith written discussions for 30 days after notice of the dispute, unless urgent relief or another procedure is required.
Where a dispute is legally eligible for arbitration and arbitration is validly agreed, it may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The parties may mutually appoint a sole arbitrator, failing which appointment will be made in accordance with the Act.
The proposed seat of arbitration is Gudivada, Krishna District, Andhra Pradesh, India, and the proposed language is English, subject to applicable law.
Courts with competent jurisdiction may be approached for interim relief, enforcement or matters that cannot lawfully be referred to arbitration. Nothing in this section removes a consumer's right to use a competent consumer forum or other statutory remedy where available.
13.Grievance Redressal and Contact Information
For platform complaints, content reports, alleged policy violations or other matters concerning Manch, users may contact the designated grievance contact below.
Please include the relevant account or academy details, a description of the issue and any supporting material needed to assess the complaint. Manch will acknowledge and address complaints within the applicable legal timelines. Where the IT Rules, 2021 apply, the grievance mechanism will meet the relevant requirements, including the applicable acknowledgement and resolution timelines.
14.Changes to These Terms
Manch may update these Terms to reflect changes in the platform, business operations, provider integrations or applicable law. Material changes will be communicated through an appropriate channel where required by law. The updated version will identify its effective or last-updated date. Where consent is legally required, Manch will obtain it in the applicable manner. If a user does not agree to a material change, the user may stop using the affected services and cancel an applicable subscription, subject to the relevant billing terms and mandatory law.
15.General Provisions
Severability: If a provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
No waiver: Failure to enforce a provision on one occasion does not waive the right to enforce it later.
Assignment: A Tenant may not transfer its account or rights under these Terms without any required approval. Manch may transfer its rights and obligations as part of a lawful business reorganisation or transfer, subject to applicable law.
Entire agreement: These Terms, together with the applicable Privacy Policy, Refund, Cancellation and Billing Policy, Content and Acceptable Use Policy, plan descriptions and any signed written agreement, form the agreement governing the relevant services. In the event of conflict, mandatory law prevails; a specific signed agreement governs where it expressly overrides these Terms.
Electronic acceptance: Electronic acceptance and use of the platform may evidence agreement to these Terms to the extent recognised by applicable law.
